Clause 01
Who this is between
These terms are an agreement between Dearrasa and the business that subscribes to it. Throughout this document, Dearrasa means us and the software we provide, and you means the restaurant, group or company that holds the subscription.
Where an individual accepts these terms on behalf of a business, they confirm they are authorised to do so. Your staff and your guests are not parties to this agreement, and nothing here creates obligations for them.
Clause 02
What we provide
Dearrasa is restaurant management software provided as a subscription, comprising the modules included in your plan, the counter and kitchen applications that run on your devices, and the reporting available to your account.
We provide the software, its hosting, its updates, onboarding and menu build as described in your plan, and support. We continue to develop the product, which means features are added and improved over the life of your subscription at no additional charge within your plan.
We do not provide payment processing, delivery logistics, hardware, internet connectivity, accounting services or tax advice. Where the software connects to a payment provider, a delivery aggregator or a messaging provider, that provider's own terms govern their service.
Clause 03
Your account and staff logins
- Staff logins are unlimited on every plan. We deliberately do not charge per user, because charging per user leads restaurants to share logins and a shared login destroys the audit trail that makes the software worth having.
- You are responsible for who you grant access to and at what level, and for removing access when someone leaves. Deactivation takes effect immediately across all devices and outlets.
- You are responsible for activity carried out under logins issued by your account. Where you believe a login has been compromised, tell us and we will help you secure the account.
- Approval thresholds for discounts, comps, voids and stock adjustments are yours to configure. We provide the mechanism, you set the limits.
Clause 04
Your data belongs to you
- Your menus, recipes, costs, supplier rates, sales records, stock ledger, staff records and guest records remain yours. Subscribing to Dearrasa does not transfer any ownership of them to us.
- You can export your data at any time, in a standard machine readable format, without asking permission and without an additional fee.
- We use your data to operate the service for you, to support you when asked, to keep the service secure, and to build forecasting models for your own account. Nothing else.
- We do not sell your data, share it with other customers, publish it as benchmarks, or use it to train models that other restaurants benefit from.
- Recipes, costs and supplier rates are treated as your confidential commercial information.
- How data is stored, who can reach it and how long it is kept is set out in the Privacy Policy, which forms part of these terms.
Clause 05
What you remain responsible for
Some things only you can be accountable for, and being clear about them now prevents an argument later.
- Tax configuration. We help you set up rates and invoice series, and we build them to the rules as we understand them. Confirming that your tax setup is correct for your business remains yours, ideally with your accountant. We do not provide tax advice.
- Recipes and costs. Costing output is only as accurate as the recipes and purchase rates you enter. A recipe that understates a portion will understate your food cost, and the software cannot know that.
- Guest consent. Where you collect guest contact details and send messages, you are responsible for having a lawful basis and honouring the consent recorded. The software records and enforces consent, it cannot obtain it for you.
- Staff and employment matters. Rosters, hours, wages and employment compliance are yours. Dearrasa records what happened, it does not decide what is lawful in your state.
- Accuracy of what your staff enter. Wastage that is not logged, stock received that is not recorded and cash that is not declared will produce reports that are wrong, and correctly so.
Clause 06
Availability, and how offline use works
We aim to keep the hosted service available continuously and to schedule necessary maintenance outside typical Indian service hours. We do not currently publish a contractual uptime figure, and we would rather say that plainly than state a number we are not yet in a position to guarantee. When we do commit to one, it will appear in these terms.
The counter and kitchen applications are designed to continue operating without connectivity. Orders can be taken, fired, timed, modified, printed and settled in cash offline, and they reconcile in sequence when the connection returns.
Functions that genuinely require connectivity are: receiving delivery aggregator orders, card and UPI authorisation, cross outlet views, and generating fresh forecasts. These depend on external networks and services, and their unavailability is not a failure of the software.
Clause 07
Hardware and connectivity
You provide the terminals, kitchen screens, printers, network and internet connection. Before you commit to a subscription we will assess the hardware you already own and tell you in writing what works, what needs an adapter and what needs replacing.
Where you buy hardware on our recommendation, it is bought from the supplier under their warranty, not from us. We will help you get it working with Dearrasa.
A restaurant network that is unstable will produce a poor experience regardless of the software, and we will tell you if we think that is your real problem rather than sell you a subscription that cannot fix it.
Clause 08
Fees, billing and term
- Subscriptions are billed monthly or annually in advance, per outlet, at the plan and rate agreed in writing with you. Annual billing is offered at a lower effective rate.
- There is no charge per order, per bill, per ticket or per user. A busy service costs the same as a quiet one.
- Onboarding and menu build are included as described in your plan. Extended on site work or a large historical data migration is quoted separately and confirmed before any work begins.
- Adding an outlet or a module takes effect from the date it is enabled and is charged pro rata for the remainder of the current term.
- Reducing modules or outlets takes effect at the start of your next term. We do not refund part of a term already paid, and we do not restrict your access before the term you paid for has ended.
- Where we change our published rates, existing customers are given notice before the change applies at their next renewal, never mid term.
- Taxes applicable in India are charged in addition to the subscription fee.
Clause 09
Support
Support is included on every plan and is reached through the contact page, marked as a support matter. Issues that are stopping a live service are treated as the highest priority, ahead of everything else, and telling us your outlet name in the first line is the fastest way to get help.
We do not currently publish contractual response times. Where your group requires committed response times, that can be agreed separately as part of a Multi Outlet arrangement, and it will be written down rather than implied.
Clause 10
Suspension
We may suspend access where fees remain unpaid after we have given you notice and a reasonable opportunity to settle, where the service is being used unlawfully, or where continued use is causing a security risk to you or to other customers.
Suspension for non payment will not be applied without prior notice to your nominated contact, and it does not delete your data. During any suspension you retain the right to export your data.
Clause 11
Ending the agreement, and leaving cleanly
- You may end your subscription at the end of any paid term by telling us. There is no lock in beyond the term you have paid for and no exit fee.
- We may end the agreement at the end of a term by giving you notice, and we would tell you the reason.
- On termination you can export your menus, recipes, sales history, stock ledger, staff records and guest records. We will actively help you do it. Making an exit awkward is a poor way to run a software business.
- Your data remains available for export for a stated period after termination, after which it is deleted, apart from records we are legally required to retain.
- Where either of us ends the agreement, obligations relating to confidentiality, data ownership and fees already due continue to apply.
Clause 12
Liability, stated realistically
We take responsibility for the software doing what we say it does. We cannot take responsibility for the outcome of business decisions taken using it.
- Forecasts are estimates. Prep and purchasing decisions made from them remain yours, and we are not liable for stock bought or prepared on the strength of a forecast.
- Costing and reporting reflect the data entered. We are not liable for consequences arising from recipes, rates or stock entries that were inaccurate.
- We are not liable for failures of your internet connection, your hardware, your electricity supply, a payment provider or a delivery aggregator.
- Neither party is liable to the other for indirect or consequential loss, including loss of profit, loss of goodwill or loss of anticipated savings.
- Our total liability under this agreement in any twelve month period is limited to the subscription fees you paid us in that period.
- Nothing in this clause limits liability that cannot lawfully be limited, including liability for fraud.
Clause 13
Changes to the software and to these terms
The product changes continuously, and most changes are additions or improvements that require nothing from you. Where we intend to remove or materially change a feature your operation depends on, we will give notice to your nominated contact and explain the alternative before it happens.
Where we change these terms in a way that materially affects your rights, we will notify you and the change will take effect from your next renewal rather than immediately. If you do not accept it, you may end the subscription at the end of your current term.
Clause 14
Governing law and disputes
This agreement is governed by the laws of India, and the courts of India have jurisdiction over any dispute arising from it.
Before either of us takes a dispute to a court, we ask that it is first raised directly with a named person on the other side and discussed in good faith. In our experience nearly every disagreement between a restaurant and its software provider is a misunderstanding about expectations, and a conversation resolves it faster and more cheaply than anything else.
To raise a matter under these terms, write to support@dearrasa.com or use the contact page.
